4. Project Terms and Deliverables

4.2 Timelines

Project timelines are estimates and may be subject to change based on client feedback, scope changes, or unforeseen circumstances. We will make reasonable efforts to meet agreed-upon deadlines.

4.3 Client Cooperation

Timely delivery of services depends on client cooperation, including providing necessary materials, feedback, and approvals. Delays caused by client inaction may result in timeline extensions.

5. Payment Terms

5.1 Pricing

All prices are quoted in the agreed currency and are subject to change with 30 days notice. Custom quotes are valid for 30 days from the date of issue.

5.2 Payment Schedule

Unless otherwise agreed:

• 50% deposit required before project commencement
• Remaining 50% due upon project completion
• Monthly retainers are billed in advance

5.3 Late Payments

Late payments may incur interest charges of 1.5% per month or the maximum allowed by law. We reserve the right to suspend services for accounts with overdue balances.

5.4 Refund Policy

Deposits are non-refundable once work has commenced. Refunds for other payments will be considered on a case-by-case basis.

6. Intellectual Property Rights

6.1 Client Materials

You retain ownership of all materials provided to us. By providing materials, you grant us a license to use them for the purpose of delivering our services.

6.2 Final Deliverables

Upon full payment, ownership of final deliverables transfers to you. We retain the right to display completed work in our portfolio unless otherwise agreed.

6.3 Third-Party Resources

Some deliverables may include third-party resources (fonts, stock images, plugins) subject to their own licenses, which must be obtained separately.

7. Warranties and Disclaimers

7.1 Service Warranty

We warrant that our services will be performed with reasonable skill and care. We provide a 30-day warranty period for bug fixes on completed projects.

7.2 Disclaimer

Our services are provided "as is" without any warranty of specific results. We do not guarantee specific rankings, traffic increases, or revenue generation.

8. Limitation of Liability

To the maximum extent permitted by law, Yaxify.digital shall not be liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of profits or revenues. Our total liability shall not exceed the amount paid by you for the specific service giving rise to the claim.

9. Confidentiality

We will maintain the confidentiality of your proprietary information and will not disclose it to third parties without your consent, except as required by law or necessary to provide our services.

10. Termination

Either party may terminate services with 30 days written notice. Upon termination, you will pay for all services rendered up to the termination date. We reserve the right to terminate immediately for breach of these terms.

11. Changes to Terms

We reserve the right to modify these terms at any time. We will notify you of significant changes via email or through our website. Continued use of our services after changes constitutes acceptance of the new terms.

12. Governing Law

These terms shall be governed by and construed in accordance with the laws of Pakistan. Any disputes arising from these terms shall be subject to the exclusive jurisdiction of the courts of Pakistan.
